Welcome to Baton (the “Platform”), a product of Stoke Studio LLC. We’re excited to have you on board! By creating an account, accessing, or using our services (collectively, the “Services”), you agree to these Terms & Conditions (the “Terms”). If you don’t agree, please don’t use the Platform.

1. Overview of These Terms

These Terms govern your use of our Services, which may include features like project management, issue tracking, team collaboration, AI-powered functionalities, and more.

2. Eligibility

Age Requirement: You must be at least 18 (or the age of majority in your region) to use our Platform.

Legal Capacity: By using our Services, you represent that you have the authority to accept these Terms. If you’re using our Platform on behalf of an organization, you confirm that you’re authorized to bind that entity.

3. Account Registration

Accuracy: When you sign up, please provide accurate and up-to-date information.

Security: You’re responsible for safeguarding your login credentials. If you suspect unauthorized use, let us know immediately.

Multiple Accounts: Unless we specifically allow it, you may not create multiple accounts to circumvent plan limits or feature restrictions.

4. Subscription Plans & Billing

Plan Types: We offer free and paid subscription plans with different features. Our pricing and features are described on our Pricing Page or within the Platform.

Billing Cycle: Paid plans may be billed monthly or annually. By choosing a paid plan, you authorize us (or our third-party payment provider) to charge your payment method on a recurring basis.

Plan Changes: Upgrading or downgrading plans may change the features available to you. If you choose to upgrade, the new rate may apply immediately. Downgrading may limit certain features or capacity.

Refunds: We typically don’t offer refunds unless required by law or expressly stated in our policies.

5. Your Responsibilities

Proper Use: Use the Services in compliance with all laws and regulations.

Respect Others: Be respectful in communications and content shared. No harassing, threatening, or discriminatory behavior is allowed.

No Hacking or Misuse: Don’t try to access systems or data you’re not authorized to access. Don’t introduce malware or seek to disrupt our Services.

6. Intellectual Property & Content

Our Rights: We (and our licensors) own the Services, including all related software, code, and branding.

Your Content: You retain ownership of any data or content you upload (“User Content”). By uploading, you grant us the right to host and process your content to provide the Services.

Feedback: We love feedback! If you give us suggestions, we can use them to improve the Platform without obligation or restriction.

7. Fair Usage Policy

We want to provide a fast, reliable experience for everyone. By “unlimited,” we mean most users won’t hit a hard cap under normal usage. However, we have automated safeguards to prevent abuse.

7.1 What “Unlimited” Means

No Fixed Cap: We don’t impose strict numerical limits for features labeled “unlimited,” such as issues or AI requests.

Intended Use: Our Services are designed for real project collaboration, not purely automated scripts or bulk data generation. Typical professional use shouldn’t run into limits.

7.2 Examples of Excessive or Misuse

Abnormally High AI Requests: Requests submitted at a speed or volume beyond what a single user (or legitimate integration) would typically require.

Rapid-Fire Issue Creation: Creating issues at a rate that’s unusually high or automated.

System Degradation: Any activity harming our system’s performance for others.

7.3 Monitoring & Enforcement

Automated Detection: We use automated tools to spot and slow down (throttle) suspicious or abnormally high usage.

Communication: We’ll often reach out with a warning or guidance if we notice an issue.

Suspension: Continued misuse or deliberate abuse can lead to temporary suspension or other measures to protect the Platform.

If you need consistently high-volume usage or have unique data needs, contact us at support@usebaton.com to discuss a custom plan or arrangement.

8. Term & Termination

Term: These Terms apply as long as you have an account or use our Services.

Termination by You: You can stop using our Services or cancel your account at any time.

Termination by Us: We may suspend or terminate your access if you violate these Terms or laws, or if we discontinue the Services. In such cases, we’ll try to notify you.

9. Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We don’t guarantee that the Services will be uninterrupted, error-free, or meet your specific needs.

10. Limitation of Liability

No Indirect Damages: To the fullest extent permitted by law, we won’t be liable for indirect, incidental, or consequential damages (like lost profits or data).

Cap on Liability: Our total liability for any claims related to the Services is limited to the fees you paid us in the 12 months before the claim arose (or USD $100 if no fees were paid).

11. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, breach of these Terms, or violation of others’ rights.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the state of Texas, without regard to conflict of laws.

Any dispute shall be resolved in the courts of Dallas County in Texas. We both consent to venue and personal jurisdiction there.

13. Changes to These Terms

We may update these Terms as our business evolves. Continued use after updates means you accept the revised Terms.

14. Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy, form the entire agreement between us.

No Waiver: If we don’t enforce a provision, it doesn’t mean we waive the right to do so later.

Severability: If any part of these Terms is deemed unenforceable, the rest remain in effect.
